1. Scope and Seller
These Terms of Service apply to all purchases made through our online store at www.ellismanhattan.com between Dalton Brothers LLC, a Wyoming limited liability company doing business as “Ellis Manhattan”, 30 N Gould St, Sheridan, WY 82801, USA (“we”, “us”, “our”), and you, the customer. Contact: info@ellismanhattan.com. Please note that this is our business address only and does not accept returns or deliveries.

By placing an order or using our website, you agree to these Terms. Any different terms proposed by you do not apply unless we expressly agree to them in writing.

2. Orders
Product listings on our website are an invitation to make an offer, not a binding offer. By clicking the order button, you submit a binding offer to purchase. The automatic order confirmation email only confirms that we received your order. A contract is formed when we expressly accept your order or ship the goods.

We may decline or cancel an order, for example in case of a pricing error, suspected fraud or lack of stock. If we cancel an order after payment, we refund the full amount to your original payment method. These Terms can be viewed, saved and printed on this page at any time. The contract language is English.

3. Prices and Shipping Costs
All prices are listed in U.S. dollars (USD). Applicable sales tax is calculated at checkout based on your shipping address. Shipping is free on all orders, with no minimum order value. For deliveries within the United States, you will not be charged any additional customs duties or import fees. The price shown at the time of your order applies.

4. Payment
We accept credit and debit cards (Visa, Mastercard, American Express, Discover), Apple Pay, Google Pay and Shop Pay. Payment is due when you place your order. All payment transactions are encrypted using SSL/TLS.

5. Delivery
We ship to all 50 U.S. states. Orders are processed within 1 to 3 business days. Estimated delivery time is 8 to 12 business days after shipment. Part of our range ships directly from a partner warehouse outside the United States, which may result in longer transit times.

Delivery times are good-faith estimates, not guaranteed dates. If we cannot ship your order within the stated time, we will notify you and give you the option to accept the delay or cancel your order for a full refund.

6. Title and Risk of Loss
Title and risk of loss pass to you when the goods are delivered to you or to a person you designate.

7. Returns
U.S. law does not require online retailers to accept returns. We nevertheless offer a voluntary 30-day return policy from the date you receive your order. Details are set out in our Return & Refund Policy, which forms part of these Terms.

8. Defective Products
If you receive a damaged, defective or incorrect item, please notify us at info@ellismanhattan.com within 14 days of delivery, with photos. You may choose a replacement, a partial refund or a full refund of the purchase price. This does not limit any rights you may have under applicable state law, including implied warranties that cannot be excluded.

9. Product Display
We make every effort to display products and colors as accurately as possible. Minor differences between the colors shown on your screen and the actual product colors are due to technical limitations and are not a defect.

10. Use of the Website and Prohibited Uses
All content on this website (text, images, graphics, logos) is protected by copyright. Copying, distribution or commercial use without our prior written consent is not permitted.

In particular, you may not use the website for unlawful or unauthorized purposes, transmit viruses or other malicious code, circumvent security features, scrape personal data of others, engage in harassing, abusive or discriminatory conduct, or provide false or misleading information. We may suspend access immediately in case of a violation.

11. Customer Reviews and Submissions
Reviews and other content you submit must not infringe the rights of third parties. We may remove unlawful content. We are under no obligation to publish, respond to or compensate for any submission.

12. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages arising from your use of the website or products purchased from us. Our total liability for any claim relating to an order is limited to the amount you paid for that order. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct or under product liability laws. We are not responsible for the content of external websites we link to.

13. Privacy
We process personal information in accordance with our Privacy Policy.

14. Changes to These Terms
We may update these Terms with effect for the future. The version available at the time of your order applies to that order.

15. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. If you are a consumer, you retain the protection of any mandatory consumer protection laws of your state of residence, and you may bring a claim in the courts of your state of residence or in small claims court.

16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
